Time-Warner wanted to get out of The Wrestling Business. No more broadcasting Wrestling Shows on Television, doing House Shows, Doing Televised shows, Doing Pay Per Views. WCW was losing more money it's last 3 years than it ever had in it's History ad Time-Warner didn't want to have Professional Wrestling as part of it's Corporate Portfolio anymore.

In 2001, Time Warner the owners of World Championship Wrestling decided to sell the company and the World Wrestling Federation bought it.

They couldn't compete with the WWE when they use to do the Monday Night wars...they were kicking the WWE's a$$ in 1996-1997 but when WWE became the Attitude Era WCW had no chance from 1998-2001. That's why in 2001 Shane McMahon went to Orlando on the last episode of WCW Nitro and was in the show and on the Titantron on the same night on Monday Night Raw saying that he had bought WCW where in reality it was Time Warner that didn't want anymore WCW promotion because they are loosing money so in a storyline Vince McMahon bought the company.

Their rating just went plummeting down. At first it was a huge battle between WWF and WCW. But all and all, WCW was winning. But the thing with them is they stayed the same level. All they used was the whole nWo and the Wolfpack. Other wrestlers on the program would never really get any airtime unless you were on one of the two groups. And you gotta admit, that would get lame after awhile, just seeing the same thing over and over. That's why more people started watching WWF. They had DX sure, but they would also start introducing new and young characters, like The Rock and Stone Cold and Mankind. Something that WCW would not experiment with. They lost alot of fans because of that and that's why they went out of business
